FCC is the first new registrant under this framework in over a quarter century and only the second currently operating face-amount certificate company in the United States. Each YLDS token represents an unsecured debt obligation of FCC redeemable for one U.S. dollar plus accrued yield. The product is not a money market fund, but is backed by short-term U.S. Treasury securities and repurchase agreements involving Treasury securities — assets similar to those held by prime money market funds. Prospectuses and periodic filings are available on SEC EDGAR under CIK 1974395. The interest rate accrues daily at the Secured Overnight Financing Rate (SOFR) minus 35 basis points (adjusted from an initial SOFR minus 50 basis points), with a floor of 0.00%. Interest is paid monthly in either U.S. dollars or additional YLDS tokens. The tokens are transferable peer-to-peer and can be redeemed at any time for U.S. dollars, without lockup periods. YLDS tokens are available to both individual and institutional investors and are tradeable on registered alternative trading systems (ATS).","heading":"Product Overview and Regulatory Structure","severity":"low","sources":[{"credibility":1,"name":"Figure Certificate Co - Form 497 Prospectus, SEC EDGAR","type":"regulatory","url":"https://www.sec.gov/Archives/edgar/data/1974395/000094787125000216/ss4476065_497.htm"},{"credibility":2,"name":"A&O Shearman: Figure Certificate Company in Fintech and Digital Assets","type":"research","url":"https://www.aoshearman.com/en/insights/ao-shearman-on-fintech-and-digital-assets/figure-certificate-company"},{"credibility":2,"name":"CoinDesk: Figure Markets Launches SEC-Registered Yield-Bearing Stablecoin","type":"news_article","url":"https://www.coindesk.com/business/2025/02/20/figure-markets-launches-sec-registered-yield-bearing-stablecoin"},{"credibility":2,"name":"YLDS Official Website","type":"official","url":"https://www.ylds.com/"}]},{"content":"Figure Certificate Company is a subsidiary of Figure Technology Solutions, Inc. Figure Technology Solutions completed an IPO on Nasdaq in September 2025, raising approximately $663 million, and subsequently conducted a secondary offering in February 2026 at $32.00 per share. As of early July 2026, the stock traded around $31.05. The company reported Q1 2026 loan volumes of $2.90 billion, up 113% year-over-year. Figure Technology Solutions posted a profit surge in 2025 and authorized a $200 million share buyback program. Cagney resigned as SoFi's CEO in September 2017 immediately following the emergence of sexual harassment lawsuits, including a claim by executive assistant Laura Munoz and a wrongful termination lawsuit alleging he had created a workplace culture tolerant of harassment. Multiple media outlets reported that more than 30 current and former SoFi employees had described harassment-related concerns. No criminal charges resulted from the SoFi matter. At Figure, Cagney served as CEO until 2024 and now serves as Executive Chairman. Morpheus Research separately alleged that Cagney sold approximately $64 million worth of FIGR stock since the IPO at an average price of $28.50; Figure stated the sales occurred under pre-established trading plans or in connection with stock vesting and associated tax obligations.","heading":"Founder Background: Mike Cagney","severity":"medium","sources":[{"credibility":1,"name":"Forbes: SoFi CEO Mike Cagney Resigns Following Sexual Harassment Lawsuit","type":"news_article","url":"https://www.forbes.com/sites/clareoconnor/2017/09/12/sofi-ceo-mike-cagney-resigns-following-sexual-harassment-lawsuit/"},{"credibility":2,"name":"Wikipedia: Mike Cagney","type":"other","url":"https://en.wikipedia.org/wiki/Mike_Cagney"},{"credibility":2,"name":"Inc.: How Mike Cagney Founded 2 Public Companies Worth $45 Billion","type":"news_article","url":"https://www.inc.com/brian-contreras/figure-ipo-mike-cagney-sofi-michael-tannenbaum-45-billion/91241576"},{"credibility":3,"name":"Morpheus Research: Figure Technology Short Report","type":"research","url":"https://www.morpheus-research.com/figure/"}]},{"content":"In 2026, short-seller Morpheus Research published a report alleging that Figure Technology Solutions misrepresents the role of blockchain in its operations. Morpheus alleged that Figure's SEC filings state its loan origination system 'does not rely on the use of blockchain technology' and uses 'traditional documentary processes,' while the company simultaneously promotes itself as a blockchain-native platform. The report characterized Figure's blockchain use as recording conventionally-originated loan data to a distributed ledger after the fact — effectively using it as a 'glorified database.' Morpheus also alleged that co-founder Mike Cagney has publicly criticized tokenization and 'digital twins' on social media, in apparent tension with Figure's promotional materials describing loans as blockchain-native. Figure and asset manager VanEck publicly disputed the Morpheus findings. These claims remain alleged and unresolved as of July 2026. The report claimed this undermines Figure's characterization of YLDS as a broadly adopted product, and that CEO statements describing loans as 'settled and serviced in YLDS' are contradicted by the fact that Figure accepts only ACH payments and wire transfers for payoffs. On lending quality, Morpheus noted that delinquent balances in Figure's held-for-sale loan pool rose from 3.91% in 2024 to 5.46% in 2025, compared to Bank of America's improvement during the same period. The report cited former employees describing aggressive underwriting practices including use of unreliable automated valuation models, omitted title reports, and insufficient lien diligence. Figure has not specifically addressed the YLDS concentration claims on the public record as of July 2026. It is noted that by Q1 2026 YLDS circulation had grown to $598 million, an 83% quarter-over-quarter increase from Q4 2025, suggesting meaningful distribution growth since December 2025. The accuracy of the December 2025 concentration figure and Figure's rebuttal remain unverified.","heading":"Short-Seller Allegations: YLDS Concentration and Lending Quality","severity":"high","sources":[{"credibility":3,"name":"Morpheus Research: Figure Technology — Smoke and Mirrors","type":"research","url":"https://www.morpheus-research.com/figure/"},{"credibility":2,"name":"StockTitan: Figure Technology Solutions Q1 2026 YLDS Growth Data","type":"news_article","url":"https://www.stocktitan.net/sec-filings/FIGR/8-k-figure-technology-solutions-inc-reports-material-event-c2a3bd8fecbc.html"},{"credibility":2,"name":"Investing.com: Figure Technologies Faces Blockchain Fraud Allegations","type":"news_article","url":"https://www.investing.com/news/stock-market-news/figure-technologies-faces-blockchain-fraud-allegations-as-short-seller-claims-misrepresentation-93CH-4618887"}]},{"content":"In February 2026, Figure Technology Solutions disclosed a data breach affecting approximately 967,200 customer accounts. First, YLDS tokens represent unsecured obligations of Figure Certificate Company and are not backed by the U.S. government or any deposit insurance scheme such as FDIC. If FCC suffers losses on its asset portfolio, it may be unable to meet principal and interest obligations. Second, FCC's assets are primarily debt securities subject to credit risk, interest rate risk, and prepayment and extension risk. Third, the yield rate (SOFR minus 35 bps) is variable and could decline to zero per the floor provision. Fourth, as a security registered under the Investment Company Act of 1940, YLDS is subject to transfer restrictions and can only be held by eligible investors through compliant platforms. Fifth, the use of a blockchain introduces smart contract risk, network risk, and custodial risk depending on the chain on which tokens are held. Hastra, a DeFi protocol, offers wYLDS (Wrapped YLDS) on Solana, enabling use of YLDS yield in decentralized finance contexts. How verification works. The “Row integrity” check above is computed in your browser — your machine recomputes the SHA-256 of the canonical bytes and compares against the stored hash. No avoid.net server can fake that check. The “full verify” link goes one level deeper: your browser fetches the on-chain transaction from a Solana RPC node and confirms the same hash is in the memo. If you don’t want to trust either avoid.net or the public RPC, run the CLI verifier on your own machine —
python -m src.verify_decision <event_id>.
