The company was later rebranded to Nova Labs, Inc. in March 2022. The Helium Network is a decentralized wireless network that incentivizes individuals to deploy radio hotspots by rewarding them with HNT tokens. The network initially focused exclusively on IoT connectivity via LoRaWAN, a low-power wide-area network protocol suited for sensor and asset-tracking devices. In 2022, the project expanded into mobile connectivity through Helium Mobile, enabling hotspot operators to provide Wi-Fi offload for cellular subscribers. The network is governed by Helium Improvement Proposals (HIPs), voted on by veHNT token holders. Lime stated that, beyond an initial hardware test in 2019, it had no relationship with the company, and that a condition of the trial was that Helium would not use its name for promotional purposes. Lime indicated it was preparing to send a cease-and-desist letter. Salesforce confirmed that 'Helium is not a Salesforce partner.' Both logos were removed from Helium's website following the reports. Co-founder Amir Haleem issued a response on Twitter acknowledging that the listings were based on verbal approvals from contacts who had since changed roles, and pledged that future listings would require written approval from active relationships. The complaint contained two categories of allegations. First, the SEC alleged that Nova Labs made materially false and misleading statements to prospective institutional equity investors during a funding round between late 2021 and early 2022, overstating the depth of relationships with Nestle, Lime, and Salesforce. The SEC alleged that Nestle's actual involvement was limited to a small-scale 2018 hardware test predating Helium's cryptocurrency launch; that Lime's involvement was limited to two 2019 hardware demonstrations to two employees; and that Salesforce had no substantiated user relationship. Both Nestle and Lime allegedly sent cease-and-desist letters, per the SEC complaint. Second, the SEC alleged that the sale of HNT, IOT, and MOBILE tokens constituted unregistered securities offerings. On April 10, 2025, the parties reached a settlement: Nova Labs agreed to pay a $200,000 civil penalty without admitting or denying the investor-misrepresentation findings. The SEC dismissed with prejudice the unregistered-securities claims against HNT, IOT, and MOBILE, meaning those specific charges cannot be refiled. Nova Labs characterized the outcome as confirming that selling hardware and distributing tokens for network growth does not automatically constitute a securities offering.","heading":"SEC Enforcement Action and Settlement (2025)","severity":"high","sources":[{"credibility":1,"name":"SEC drops unregistered securities claims against Nova Labs, Helium says - The Block","type":"regulatory","url":"https://www.theblock.co/post/350471/sec-drops-unregistered-securities-claims-against-nova-labs-helium-says"},{"credibility":1,"name":"Helium issuer Nova Labs agrees to pay SEC $200K to settle allegations it lied to investors about brand partnerships - CoinDesk","type":"regulatory","url":"https://www.coindesk.com/policy/2025/04/10/helium-issuer-nova-labs-agrees-to-pay-sec-usd200k-to-settle-allegations-it-lied-to-investors-about-brand-partnerships"},{"credibility":2,"name":"SEC drops suit against Helium for alleged securities violations - CoinTelegraph","type":"news_article","url":"https://cointelegraph.com/news/sec-dismisses-helium-lawsuit"},{"credibility":1,"name":"Nova Labs, Inc. - SEC Enforcement Litigation Release","type":"regulatory","url":"https://www.sec.gov/enforcement-litigation/litigation-releases/lr-26229"},{"credibility":2,"name":"SEC Dismisses Helium Token Lawsuit With Prejudice, Nova Labs Agrees to $200K Settlement - The Defiant","type":"news_article","url":"https://thedefiant.io/news/regulation/sec-dismisses-helium-token-lawsuit-prejudice-nova-labs-agrees-to-200k-settlement-d3245cfa"}]},{"content":"HNT was launched in 2019 on a purpose-built proprietary blockchain. The network implemented a halving schedule under HIP-20, capping maximum supply at approximately 223 million HNT. In April 2023, following community approval of HIP-70, the Helium Network migrated all token operations (HNT, IOT, MOBILE, and Data Credits) to the Solana blockchain, adopting the Solana SPL token standard. This migration introduced two sub-network tokens — IOT (rewarding LoRaWAN hotspot operators) and MOBILE (rewarding mobile hotspot operators) — while HNT remained the apex governance and burn-and-mint token. In January 2025, HIP-138 consolidated the tokenomics by returning HNT to a single primary reward token across all sub-networks, reducing complexity. HNT reached an all-time high price of approximately $54–55 in November 2021, driven partly by speculative mining demand. As of mid-2025, the token had declined more than 98% from its peak, with a market capitalization in the range of $130–150 million. Emissions are subject to a two-year halving schedule, reducing supply growth over time.","heading":"Tokenomics and Solana Migration","severity":"medium","sources":[{"credibility":1,"name":"Helium to Fully Migrate to Solana Blockchain by March 27 - CoinDesk","type":"news_article","url":"https://www.coindesk.com/tech/2023/02/20/helium-to-fully-migrate-to-solana-blockchain-by-march-27"},{"credibility":2,"name":"The Helium Network Token - Helium Documentation","type":"official","url":"https://docs.helium.com/tokens/hnt-token/"},{"credibility":2,"name":"HNT Returns: HIP 138 - Helium Blog","type":"official","url":"https://blog.helium.com/hnt-returns-implementation-updates-and-community-q-a-on-hip-138-334aef394f48"},{"credibility":2,"name":"Helium price today, HNT to USD - CoinMarketCap","type":"other","url":"https://coinmarketcap.com/currencies/helium/"}]},{"content":"In 2022, the gap between marketing claims and actual network usage drew criticism. A September 2022 Fortune investigation cited data showing Helium generated approximately $1,150 in genuine IoT data revenue over a 30-day period, a figure starkly incongruent with the company's $1.2 billion valuation at the time. IoT companies were spending roughly $6,500 per month collectively on data transfers across the entire network. By contrast, the Mobile sub-network has since demonstrated more substantive growth. Helium Mobile launched a carrier data-offload program in June 2024, enabling telecom subscribers to automatically and seamlessly connect to Helium hotspots. Participating carriers have included AT&T, T-Mobile, Movistar (Telefonica Mexico), Google Orion, and WefiI. By Q4 2025, Messari reported that the network offloaded 4,388 terabytes of carrier data, a 60.7% quarter-over-quarter increase, bringing cumulative data offloaded since inception to approximately 9,839 TB. Average daily users reached approximately 1.6 million in Q4 2025, up 32.4% quarter-over-quarter. Mobile subscribers as of Q4 2025 stood at approximately 595,800. The IoT sub-network, while declining in hotspot count, continues to operate and support LoRaWAN device connectivity.","heading":"Network Usage and Real-World Adoption","severity":"medium","sources":[{"credibility":1,"name":"Embattled crypto company Helium is attempting a second act as users flee and revenue tumbles - Fortune","type":"news_article","url":"https://fortune.com/crypto/2022/09/27/embattled-helium-attempting-crypto-powered-mobile-network/"},{"credibility":2,"name":"State of Helium Q4 2025 - Messari","type":"research","url":"https://messari.io/report/state-of-helium-q4-2025"},{"credibility":3,"name":"Helium Hits 2 Million Users As Carrier Data Offload Jumps 60% in Q4 2025","type":"news_article","url":"https://www.xt.com/en/blog/post/helium-hits-2-million-users-as-carrier-data-offload-jumps-60-in-q4-2025"},{"credibility":2,"name":"Helium Mobile - Stats","type":"official","url":"https://hellohelium.com/stats"}]},{"content":"Helium's reward mechanism, Proof-of-Coverage (PoC), relies on hotspots cryptographically verifying that they are providing radio coverage at claimed physical locations. Operators discovered methods to spoof their hotspot's claimed location or generate fraudulent witness transactions, earning HNT rewards without providing genuine coverage. Community analysis and publications by Helium community members identified persistent gaming activity on the network, with some estimates suggesting that a material portion of PoC rewards were captured by bad actors. The migration to Solana in April 2023 moved Proof-of-Coverage validation to independent oracles, intended to reduce gaming vectors. HIP-66, a governance proposal, introduced a trust score and denylist system to flag and penalize suspected gaming hotspots. As of 2024, community reports indicated that spoofing remained active, though the denylist mechanism resulted in some enforcement. These risks are a structural challenge for any permissionless DePIN network where rewards are tied to unverifiable physical location claims.","heading":"Proof-of-Coverage Gaming and Spoofing","severity":"medium","sources":[{"credibility":3,"name":"Helium Network Gaming: dishonest interaction with the Helium network - RAKwireless","type":"other","url":"https://news.rakwireless.com/what-is-helium-network-gaming/"},{"credibility":3,"name":"Helium Improvement Proposal 66 Trust Score and Denylist - HeliumMart","type":"other","url":"https://heliummart.com/blog/heliums-improvement-proposal-66-wants-to-bring-trust-score-for-hotspot-spoofing/"},{"credibility":2,"name":"Case Study: A Technical Deep Dive on Helium - Solana Media","type":"other","url":"https://solana.com/news/case-study-helium-technical-guide"}]},{"content":"Helium governance operates through on-chain voting on Helium Improvement Proposals (HIPs), with voting power derived from veHNT (vote-escrowed HNT). Governance has experienced at least one notable controversy: during the voting period for HIP-138 (the proposal to consolidate to a single HNT reward token), a single large wallet entity staked approximately $2.4 million worth of MOBILE tokens in the final hours of the voting window and voted against the proposal, causing the MOBILE sub-DAO vote to fail. Community members attributed the vote against the proposal to a misinterpretation of its terms. The incident raised concerns about the susceptibility of token-weighted governance to last-minute whale intervention. HIP-141, adopted subsequently, aimed to simplify governance by moving to a veHNT-only voting system and reducing the complexity introduced by sub-DAO governance. The page is broadly accurate and well-sourced. The most material recurring error is characterizing the Series D '$1.2 billion' figure as a pre-money valuation when multiple primary sources indicate it was the post-money figure (pre-money was $1 billion). The SEC settlement date cited as April 10, 2025, is the announcement date; the actual court-entered final judgment was April 23, 2025, and the page cites the complaint release (lr-26229) rather than the settlement release (lr-26291). AT&T is incorrectly grouped as a June 2024 carrier launch partner when it joined in April 2025. No claims were found to be outright disputed or contradicted by credible sources.

    The reviewer examined 32 claims and found zero disputed, 22 confirmed, 7 partially_supported, and 1 unverifiable, yielding a reviewer-computed disputed_pct of 3% — well within the approve band. The partially_supported findings are precision-level inaccuracies rather than substantive factual reversals: claim_findings[9] and timeline[4] mislabel the Series D '$1.2 billion' figure as pre-money when multiple primary sources (including the official press release) confirm it is the post-money valuation; claim_findings[16] and timeline[12] cite April 10 as the SEC settlement date when the court-entered final judgment was April 23 per SEC release lr-26291; and claim_findings[23] and timeline[9] incorrectly group AT&T among the June 2024 carrier launch partners when AT&T joined in April 2025. None of these errors contradict the page's core allegations or materially alter its risk assessment. The one unverifiable finding (Sean Carey's 2015 departure) is a minor personnel detail with no cited source. Reviewer confidence is 0.88. Coverage gaps are all medium or low priority and suggest expansion, not denial.

The partially_supported findings are precision-level inaccuracies rather than substantive factual reversals: claim_findings[9] and timeline[4] mislabel the Series D '$1.2 billion' figure as pre-money when multiple primary sources (including the official press release) confirm it is the post-money valuation; claim_findings[16] and timeline[12] cite April 10 as the SEC settlement date when the court-entered final judgment was April 23 per SEC release lr-26291; and claim_findings[23] and timeline[9] incorrectly group AT&T among the June 2024 carrier launch partners when AT&T joined in April 2025. None of these errors contradict the page's core allegations or materially alter its risk assessment. The one unverifiable finding (Sean Carey's 2015 departure) is a minor personnel detail with no cited source. Reviewer confidence is 0.88. Coverage gaps are all medium or low priority and suggest expansion, not denial.","score_delta":0,"sequence_num":3,"submission_content_hash":null,"submission_id":null,"submission_kind":null,"submission_valence":null,"v":1}

How verification works. The “Row integrity” check above is computed in your browser — your machine recomputes the SHA-256 of the canonical bytes and compares against the stored hash. No avoid.net server can fake that check. The “full verify” link goes one level deeper: your browser fetches the on-chain transaction from a Solana RPC node and confirms the same hash is in the memo. If you don’t want to trust either avoid.net or the public RPC, run the CLI verifier on your own machine — python -m src.verify_decision <event_id>.
