According to the SEC, Geosyn falsely claimed to have favorable electricity contracts that made mining profitable, failed to disclose that earlier investors' machines were never purchased or brought online, and did not provide promised services such as 24/7 monitoring or the ability to customize mining strategy. The SEC further alleged that Geosyn did not procure roughly 400 of the 1,400 mining rigs covered by investor agreements and that most of the machines it did purchase were never brought online. The SEC sought permanent injunctions, officer-and-director bars, disgorgement with prejudgment interest, and civil penalties against Ward and McNutt. The SEC opposed characterizing the pause as related to crypto-policy shifts, stating the case did not concern crypto asset regulation and did not allege the defendants sold cryptocurrencies themselves. According to the Department of Justice, Ward was subsequently charged by indictment in May 2025. Following a six-day jury trial before U.S. District Judge Mark T. Pittman, a Fort Worth jury convicted Ward on all counts on November 17, 2025, including one count of conspiracy to commit wire fraud and three counts of wire fraud; he faces up to 20 years in federal prison on each count. The DOJ release states clients wired more than $4.5 million to Geosyn between November 2021 and January 2023.
