Ethena GmbH did not fully comply, and on 4 April 2025 BaFin imposed a coercive fine of EUR 600,000 and a payment and sales ban freezing company assets. On 3 April 2025 Ethena GmbH withdrew its authorisation application, and on 14 April 2025 BaFin issued a winding-up order requiring it to cease authorised business, reverse USDe issuance and carry out a full token redemption under supervision; BaFin also stated that secondary-market trading of USDe in the EU is no longer permissible. BaFin raised a 'sufficiently substantiated suspicion' that sUSDe is an unregistered security under German law, on the basis that its yield constitutes a 'profit promise' and that it was offered publicly without a prospectus. Ethena GmbH filed an objection on 22 April 2025, and the orders were immediately enforceable but not final. Ethena Labs maintained that the enforcement against Ethena GmbH did not affect the broader USDe protocol, stated it had 'no ongoing relationship with Ethena GmbH' and shifted affected users to Ethena (BVI) Limited. BaFin published a notice on 25 June 2025 on the initiated redemption process and, per one account, revoked the winding-up order on 13 August 2025 after redemption was completed.
